    1. Introduction

    These Terms of Service ("Terms") govern your use of the Remindlo platform and services ("Service"), available at remindlo.co.uk and related applications.

    Remindlo ("we", "us", "our") provides a software platform that enables businesses to send automated SMS and email reminders to their customers.

    By registering for or using the Service, you ("User", "Business Customer", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

    2. Definitions

    • Service - The Remindlo platform enabling automated SMS and email reminders
    • User / Business Customer - A business or individual who registers for and uses the Service
    • End User - A customer of a Business Customer who receives messages through the Service
    • Account - Your registered account and associated settings within the Service
    • Contact - An End User record uploaded or created by a Business Customer
    • Subscription - A paid plan providing access to Service features

    3. Eligibility and Registration

    To use the Service, you must:

    • Be at least 18 years old and have legal capacity to enter contracts
    • Register for an Account with accurate and complete information
    • Maintain the security of your Account credentials
    • Accept these Terms and our Privacy Policy
    • Comply with all applicable laws regarding SMS messaging in your jurisdiction

    You are responsible for all activity that occurs under your Account.

    4. Your Responsibilities for End User Consent

    This is critical: You are solely responsible for obtaining proper consent from End Users before sending them SMS messages through our Service. By using Remindlo, you represent and warrant that:

    • You have obtained explicit, informed consent from each End User to receive SMS messages
    • You have clearly disclosed to End Users that they will receive automated text messages
    • You have informed End Users about message frequency and that message/data rates may apply
    • You have provided End Users with clear opt-out instructions (e.g. "reply STOP")
    • You maintain records of consent that can be provided upon request
    • Consent was freely given and not a condition of purchase or service

    You must comply with all applicable messaging laws and regulations, including but not limited to: UK GDPR and PECR, US TCPA and CTIA guidelines, CAN-SPAM Act, and any local regulations in jurisdictions where your End Users are located.

    5. Prohibited Uses

    You agree NOT to use the Service to:

    • Send messages to anyone who has not provided consent
    • Send spam, unsolicited marketing, or promotional messages
    • Send messages containing illegal, harmful, threatening, abusive, or fraudulent content
    • Send messages related to illegal products or services
    • Impersonate another person or business
    • Violate any applicable laws or regulations
    • Interfere with or disrupt the Service or its infrastructure
    • Attempt to gain unauthorized access to the Service or other accounts
    • Use the Service for phishing, fraud, or deceptive practices

    Violation of these rules may result in immediate suspension or termination of your Account without refund.

    6. Message Content and Compliance

    All messages sent through the Service must:

    • Clearly identify your business as the sender
    • Be relevant to the purpose for which consent was obtained
    • Include opt-out instructions (e.g., "Reply STOP to unsubscribe")
    • Not contain false or misleading information
    • Comply with character limits and formatting requirements

    We reserve the right to review message content and suspend accounts that violate these requirements or applicable laws.

    7. Plans, Pricing, and Payment

    The Service is available under the following terms:

    • Free plan: Limited SMS messages per month with basic features
    • Paid plans: Additional SMS allocation and advanced features
    • Payments are processed securely by Stripe
    • Subscription fees are charged in advance (monthly or yearly)
    • Prices are subject to change with 30 days notice

    All fees are non-refundable except as required by law or stated in these Terms.

    8. Service Availability and Support

    We strive to maintain high availability but do not guarantee uninterrupted service. We may:

    • Perform scheduled maintenance with reasonable notice
    • Experience downtime due to factors beyond our control
    • Modify or discontinue features with reasonable notice

    9. Data Processing and Privacy

    When you upload End User data to the Service, you act as the data controller and we act as your data processor. You agree that:

    • You have a lawful basis to collect and share End User data with us
    • You will only upload data for which you have appropriate consent or legal basis
    • You will respond to End User data subject requests
    • You will notify us promptly of any data breaches affecting End User data

    Our processing of personal data is governed by our Privacy Policy. For End Users, please refer to our End User Messaging Policy.

    10. Intellectual Property

    The Service, including its design, features, and content, is owned by Remindlo and protected by intellectual property laws. You retain ownership of your data and content uploaded to the Service.

    You grant us a limited license to use your data solely to provide the Service.

    11. Limitation of Liability

    To the maximum extent permitted by law:

    • The Service is provided "as is" without warranties of any kind
    • We are not liable for message delivery failures caused by carriers or network issues
    • We are not liable for your compliance with messaging laws or consent requirements
    • We are not liable for content you send through the Service
    • Our total liability is limited to fees you paid in the 12 months preceding the claim
    • We are not liable for indirect, incidental, or consequential damages

    12. Indemnification

    You agree to indemnify and hold harmless Remindlo from any claims, damages, or expenses (including legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any law or third-party rights, messages you send through the Service, or your failure to obtain proper consent from End Users.

    13. Termination

    You may cancel your subscription or delete your Account at any time. We may suspend or terminate your Account if you violate these Terms, engage in prohibited activities, fail to pay fees, or as required by law.

    Upon termination, your access to the Service ends and your data will be deleted according to our Privacy Policy, except where retention is required by law.

    14. Changes to Terms

    We may modify the Terms or any part thereof at our discretion from time to time without prior notice to you. When updated the new version instantly replaces all previous versions and becomes immediately effective and binding once it's posted on our website. However, modifications affecting payment will be communicated to you explicitly at least 30 days before they're implemented and if not clearly declined by you within 7 days of the notice, payment-related changes are deemed accepted and binding. Using the Service after the updated terms are in effect signifies your agreement to them. If you do not agree with the changes to the Agreement, you have the option to delete your Service at any time.

    15. Governing Law and Disputes

    These Terms are governed by the laws of the United Kingdom. Any disputes will be resolved in the courts of the United Kingdom, unless otherwise required by applicable consumer protection laws.
